Agreement to Terms
By accessing or using the services provided by ZIFF IT SOLUTIONS, L.L.C. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
Description of Services
We provide IT consulting, software development, cloud services, managed IT support, cybersecurity solutions, and related technology services. Specific services are detailed in individual service agreements or statements of work.
We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice to affected clients.
Client Responsibilities
- Provide accurate and complete information necessary for service delivery
- Maintain confidentiality of any account credentials
- Ensure proper authorization for any data or systems shared with us
- Comply with all applicable laws and regulations
- Promptly notify us of any security incidents or concerns
- Provide timely feedback and approvals as required
Payment Terms
Payment terms are specified in individual service agreements. Unless otherwise stated:
- Invoices are due within 30 days of receipt
- Late payments may incur interest charges
- We reserve the right to suspend services for non-payment
- All fees are non-refundable unless otherwise specified
Limitation of Liability
To the maximum extent permitted by law, ZIFF IT SOLUTIONS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the fees paid by you for the services in question during the twelve months preceding the claim.
Termination
Either party may terminate services with 30 days written notice unless otherwise specified in a service agreement. We may terminate immediately if:
- You breach these terms or any service agreement
- Payment is significantly overdue
- You engage in illegal or harmful activities
